These GTC apply to businesses. For consumers, the B2C GTC at /en/terms-b2c/ apply. Last updated: November 2026, version 1.0.
1. Scope
These general terms and conditions (GTC) apply to all offers, deliveries and services of HASHLYNK in the fields of mechatronics, automation, software, project planning, development and related services. They apply exclusively to business transactions between entrepreneurs (B2B). Deviating terms of the client only apply if HASHLYNK has expressly recognised them in writing.
2. Offer & conclusion of contract
Our offers are non-binding until the written order confirmation. A contract is only concluded by written confirmation from HASHLYNK or by the start of performance.
Orders in the online shop are binding. The contract is concluded by clicking the “Order with obligation to pay” button. HASHLYNK confirms the order by e-mail without undue delay and sends these GTC with it.
3. Types of service
HASHLYNK provides in particular the following services:
- Project planning, design and development services on an hourly budget basis
- Software and control system development
- Delivery of mechatronic assemblies, machines and special systems
- Technical consulting and system integration
The type and scope of the service are determined exclusively by the respective offer or order confirmation.
4. Prices
All prices are net plus the applicable statutory value added tax. Unless otherwise agreed, prices for deliveries are ex works (EXW according to Incoterms 2020), plus packaging, transport, insurance and any ancillary and third-party costs.
5. Terms of payment
a) Machines, devices & mechatronic systems 75 % down payment when the order is placed; 25 % after completion before delivery. For orders in the online shop, the full invoice amount is to be paid in advance by bank transfer. Payments are due without deduction. In the event of late payment, HASHLYNK is entitled to suspend services.
b) Project planning, design & development Invoicing is based on the actual hours spent upon completion of the project. After completion, HASHLYNK issues a detailed invoice for the hours of service provided. Payment is due within 14 days without deduction.
c) Repair & maintenance Invoicing is based on the actual hours spent upon completion of the work. After completion, HASHLYNK issues a detailed invoice for the hours of service provided. Payment is due within 14 days without deduction.
In the event of late payment, HASHLYNK is entitled to suspend further services. Default interest is charged in accordance with the statutory provisions.
6. Delivery time & change management
Delivery and performance periods begin once all technical matters have been clarified and the agreed down payment has been received. Delivery dates are non-binding unless they have been expressly agreed in writing as binding.
If the client wishes to change the agreed scope of services during the project, HASHLYNK must be notified of this in writing without delay. Changes are offered and commissioned separately. HASHLYNK is entitled to extend the delivery period in line with the additional work. Services already rendered that become obsolete due to changes in scope are to be remunerated separately.
7. Material, third-party & component costs
Material, hardware, software, licence, travel or other third-party costs are only part of the offer if they are expressly listed. Otherwise, they may be offered, commissioned and invoiced separately depending on the project.
On request, a separate component budget can be set up for transparent cost tracking.
8. Subcontractors
HASHLYNK is entitled to use suitable subcontractors to provide the agreed services. HASHLYNK remains responsible to the client in all cases. Subcontractors are carefully selected and are obliged to comply with the agreed quality and confidentiality standards.
9. Force majeure
Events of force majeure (e.g. war, natural events, supply chain disruptions, power failures, official measures, illness) entitle HASHLYNK to a reasonable extension of the performance or delivery period or to withdraw from the contract without any claim for damages.
10. Retention of title
Goods delivered remain the property of HASHLYNK until all claims arising from the respective contractual relationship have been paid in full.
11. Acceptance / commissioning
Commissioning is carried out by the client or, for a separate charge, by HASHLYNK.
Acceptance must take place in writing no later than 14 calendar days after commissioning. Any defects found must be documented in writing in an acceptance report to be signed by both parties. Material defects that preclude operation in accordance with the contract entitle the client to refuse acceptance until they have been remedied. Minor defects do not entitle the client to refuse acceptance; they are to be recorded in the report and will be remedied separately. If no written notice of defects is given in due time, the service is deemed to have been accepted.
12. Warranty
In business transactions between entrepreneurs (B2B), the following applies in addition to the statutory provisions:
The warranty period is 24 months from handover.
For machines and systems for which the equivalent full-load hours per year were specified during project planning and documented in the project dossier, the warranty alternatively ends when twice the planned annual full-load hours have been reached, whichever occurs first. The equivalent full-load hours per year specified in writing in the respective project dossier are decisive. The client is obliged to document the full-load hours actually reached in a traceable manner and to provide evidence of them on request.
In particular, there is no warranty for:
- Wear parts
- Improper use or operation outside the intended limits
- Changes or interventions by third parties
- Third-party components (only the manufacturer’s warranty applies here)
For project planning and development services, no warranty is given for a particular economic or technical result.
12a. Operating conditions & customer obligations as a prerequisite for warranty
Warranty claims require that the machines, systems and equipment supplied are operated exclusively within the technical limits specified by the manufacturer or by HASHLYNK. Unless otherwise agreed in writing, the limit values stated in the respective data sheets, manuals or technical documentation are binding.
The client is responsible for providing and properly implementing all necessary external protection and infrastructure measures. This includes in particular:
For electrical systems:
- Dimensioning and installation of the supply line in accordance with the requirements of the system
- Selection and installation of suitable upstream fuses
For all devices and systems:
- Sufficient air conditioning and temperature control at the installation site
- Suitable installation site (protection against moisture, dust, vibration etc.)
- Compliance with the permissible noise level limits of the surroundings
For hydraulic devices and systems:
- Installation and maintenance of suitable filter equipment
- Provision and operation of the necessary safety equipment
- Shut-off devices in accordance with the technical requirements
- Cooling of the hydraulic medium, unless this has been expressly agreed as part of HASHLYNK’s delivery
If the client fails to meet these obligations, the warranty claim for resulting damage or malfunctions lapses. In these cases, HASHLYNK is not liable for damage attributable to insufficient or missing external protective measures.
13. Liability
In business transactions, HASHLYNK is only liable for intent. Liability for gross negligence is excluded, to the extent permitted by law.
Liability for indirect damage, consequential damage, lost profit or production downtime is excluded to the extent permitted by law.
Liability is limited in amount to the respective order value.
Personal injury and damage based on the breach of essential contractual obligations (cardinal obligations) remain unaffected by this limitation of liability, insofar as this is mandatory by law.
14. Software, source code & rights of use
If software, programs, control systems or digital systems are part of the service, the client receives a simple, non-transferable right of use for the contractually agreed purpose.
The source code remains with HASHLYNK unless expressly agreed otherwise in writing. Passing on, reproducing or modifying the software is not permitted without the written consent of HASHLYNK.
Maintenance, updates or further development after completion of the project are not part of the original order and require a separate agreement.
In the event of HASHLYNK’s insolvency, the client is entitled to request from the competent insolvency administrator the source code of the software developed within the respective contractual relationship, provided that all payment obligations have been fulfilled in full. At the client’s request, the parties may agree on a separate source code deposit (escrow).
15. Withdrawal / project cancellation
If the client withdraws from the contract or cancels a project, all services rendered up to that point as well as material, planning and third-party costs incurred must be paid in full. Advance payments already made are offset against these claims but are not refunded.
16. Confidentiality
All documents, drawings, software, concepts and information provided must be treated confidentially and may not be passed on to third parties without the express written consent of HASHLYNK. This obligation continues to apply after the end of the contractual relationship.
17. Data protection
Where personal data is processed in the course of providing the services, this is done exclusively on the basis of the applicable data protection provisions, in particular the General Data Protection Regulation (GDPR) and the Austrian Data Protection Act (DSG).
If HASHLYNK processes personal data on behalf of the client, a separate data processing agreement (DPA) in accordance with Art. 28 GDPR must be concluded. The client is itself responsible for the lawfulness of transmitting personal data to HASHLYNK.
Information on data processing by HASHLYNK is available in the separate privacy policy on our website.
18. Place of jurisdiction & law
The place of performance and jurisdiction is the District Court of Spittal an der Drau (Bezirksgericht Spittal an der Drau). Austrian law applies exclusively, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
19. Severability clause
Should individual provisions of these GTC be or become invalid, the validity of the remaining provisions remains unaffected. The invalid provision is to be replaced by a valid one that comes closest to the economic purpose of the invalid provision.
Special conditions for the HashLink software licence (subscription)
20. Contract term and renewal
The HashLink licence is concluded as an annual subscription. The term begins on the day the HashLink Controller is commissioned. Commissioning is the point at which miners are connected to the controller. The term begins no later than one month after delivery of the controller, even if commissioning has not taken place by then. When the term begins, HASHLYNK issues the invoice for the first billing period. A billing period is one year. The subscription is automatically renewed for a further billing period in each case.
21. Termination
The subscription can be terminated at any time without any particular form, for example by e-mail to office@hashlynk.at. The termination takes effect at the end of the current billing period. Fees already paid in advance for the current period are not refunded pro rata.
22. Fee and due date
The licence fee is due in advance for the coming billing period.
23. Price adjustment
HASHLYNK reserves the right to adjust the licence fee no more than once per calendar year by no more than 10 %. The customer will be notified of an adjustment in text form at least eight weeks before it takes effect. The customer may terminate the subscription until the adjustment takes effect, with effect from the end of the current billing period.
24. Licence tier and change of tier
The licence tier corresponds to the number of miner slots activated for the controller. Slots are activated and changed exclusively by HASHLYNK; the customer cannot change the number themselves. A change of tier takes place at the customer’s request. The activation of additional slots (upgrade) takes effect immediately; the existing subscription ends at this point and is replaced by the subscription of the higher tier. The prepayment for the higher tier becomes due immediately with the upgrade. A reduction in the number of slots (downgrade) takes effect at the start of the next billing period.
25. Technical capacity per controller
A HashLink Automation Controller can technically manage up to 254 miner slots. From 100 connected miners, HASHLYNK recommends using an additional controller for performance reasons.
26. Late payment of the subscription
If payment is more than 30 days overdue, the licence is reset to the free tier S0. Once payment has been received in full, the booked tier is reactivated.
